Hope and Grace Angel Network ("Hope & Grace," "we," "us," or "our") is an Oregon nonprofit public benefit corporation recognized as tax-exempt under Section 501(c)(3) of the Internal Revenue Code (EIN: 41-4691317). These Terms of Service ("Terms") govern your access to and use of our website at hopeandgrace.space and all related services, features, and content (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. Eligibility

You must be at least 18 years of age to use the Platform, register as an Angel, register as a Soul in Need, or make any financial transaction. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. About the Platform

Hope & Grace is a charitable mutual aid network. The Platform connects donors ("Angels") with individuals experiencing hardship ("Souls in Need") through a technology-enabled system of pooled charitable giving and weekly distributions. The Platform also provides a free resource hub connecting people with emergency services across the United States.

Hope & Grace is not a lottery, sweepstakes, gambling service, or gaming platform. The Platform is a charitable mutual aid mechanism operated by a registered 501(c)(3) nonprofit organization. Angels make charitable donations; Souls in Need receive charitable grants. No wager is placed, and no purchase is necessary to receive assistance.

3. Angel Membership

3.1 Tiers and Pricing

Angels may join at one of three annual membership tiers:

All payments are processed securely through Stripe. Memberships are non-refundable once processed, except as required by applicable law.

3.2 The Daily Devotion

Of each membership, $7.30 per year (approximately $0.02 per day) is allocated to The Chalice, the shared charitable pool. The remainder supports Platform operations. A daily automated process moves each active Angel's $0.02 contribution into The Chalice and grants one entry into the weekly Blessing Ceremony.

3.3 The Blessing Ceremony

Each week, when The Chalice reaches the minimum threshold of $500, one Angel and one Soul in Need are randomly selected through a cryptographic random process. The selected Angel may receive up to 80% of The Chalice pool (less the Divine Offering operating share) and chooses how much additional to share with their matched Soul in Need.

Selection is random and not guaranteed. Being an Angel does not guarantee selection in any Blessing Ceremony. Membership provides daily entries into the weekly drawing, access to the Angel community, and the opportunity to earn badges.

3.4 The Angel Claim Window

Selected Angels have 7 days to claim their blessing. Unclaimed blessings return to The Chalice to benefit future ceremonies.

3.5 Cooldown Period

Angels who are selected enter a 4-week cooldown period during which they are not eligible for the next ceremony, ensuring broader participation.

4. Soul in Need Registration

4.1 Registration

Individuals experiencing hardship may register as a Soul in Need at no cost. Registration requires a valid email address. No payment is required to register or to receive a blessing.

4.2 The G.R.A.C.E. Interview

Registered Souls may be interviewed by G.R.A.C.E. (Guiding Resources And Compassionate Encouragement), our AI-powered intake agent. G.R.A.C.E. is an artificial intelligence system, not a human. By participating in the interview, you acknowledge that you are interacting with AI technology powered by third-party services (currently Google Gemini). See our Privacy Policy for details on data handling.

G.R.A.C.E. creates an anonymous summary of your situation (with your consent) for The Blessed page. You may opt out of story sharing at any time.

4.3 Vetting

All Soul registrations are subject to vetting to maintain the integrity of the system. Hope & Grace reserves the right to deny or revoke registration at its sole discretion if it determines that a registration is fraudulent, misleading, or not in good faith.

4.4 The Soul's Guaranteed Share

When a Soul in Need is selected in a Blessing Ceremony, they receive 20% of The Chalice pool automatically and immediately. This guaranteed share is not subject to the Divine Offering and cannot be reduced by any action of the matched Angel. The matched Angel may choose to share additional funds beyond this guaranteed base.

4.5 The Soul Engagement Window

Souls have 14 days to engage with their blessing by logging into their Soul Wallet. If a Soul does not engage within 14 days, the blessing may be returned to The Chalice to benefit future recipients. The Soul will receive reminder notifications before any reversion.

4.6 The Blessed Page and Story Sharing

With the Soul's consent, an anonymized version of their story may be published on The Blessed page for up to 30 days, during which the Angel community may send additional direct blessings. After 30 days, the story moves to the Ripples of Compassion archive. Souls may toggle story sharing on or off at any time through their Soul Wallet.

4.7 Becoming an Angel

Souls who have been blessed may convert to Angel status at a 20% discount during a 7-day offer window following their ceremony. This is a one-time offer. Upon conversion, the Soul account is retired and the individual participates as an Angel going forward. An individual cannot simultaneously hold both Angel and Soul status.

5. The Divine Offering (Operating Share)

Hope & Grace deducts an operating share, called The Divine Offering, from the Angel's portion of each Blessing Ceremony pool. The Divine Offering is never deducted from the Soul's guaranteed 20% share.

The Divine Offering rate scales logarithmically based on the size of the active Angel network, ranging from approximately 20% (at small scale) down to 8% (at large scale). The current rate is computed at the time of each ceremony and is published in the ceremony records.

The Divine Offering funds Platform operations including hosting, payment processing, email services, AI services, legal compliance, and organizational expenses. All operating income is recorded in the Ops Ledger, which forms the basis for IRS Form 990 reporting.

6. Direct Blessings

Angels and other supporters may make direct donations to specific Soul stories published on The Blessed page. Direct blessings are credited to the Soul's wallet. If the Soul's story has been reverted (the Soul did not engage within the engagement window), direct blessings are redirected to The Chalice.

7. The Hidden Hand

Supporters may make anonymous donations to The Chalice through the Hidden Hand. Hidden Hand donations are released into The Chalice over 52 weekly installments to sustain ceremonies over time. Hidden Hand donations are non-refundable after processing.

8. Payments, Withdrawals, and Tax Implications

8.1 Payments

All payments are processed through Stripe, Inc. By making a payment, you agree to Stripe's terms of service. Hope & Grace does not store credit card numbers.

8.2 Angel Membership Tax Deductibility

Angel memberships are charitable contributions to a 501(c)(3) organization. The tax deductibility of your contribution may be affected by benefits received. Consult your tax advisor regarding your specific situation. Hope & Grace will provide donor acknowledgment letters as required by law for donations of $250 or more.

8.3 Ceremony Winnings

Angel ceremony winnings may constitute taxable income. Hope & Grace will issue IRS Form 1099 for any individual whose wallet accumulates $600 or more in ceremony winnings in a single calendar year, as required by law.

8.4 Soul Blessings

Blessings to Souls in Need are intended as charitable grants from a 501(c)(3) organization. The tax treatment of grants received may vary. Consult your tax advisor regarding your specific situation.

8.5 Withdrawals

Souls and Angels with wallet balances may request withdrawals. The minimum withdrawal amount is $5.00. Withdrawals are processed within a reasonable timeframe. Available payout methods include PayPal, Venmo, Zelle, Cash App, and gift cards. Hope & Grace reserves the right to verify identity before processing withdrawals.

10. Account Termination

Hope & Grace reserves the right to suspend or terminate any account that violates these Terms or that we reasonably believe is engaged in fraudulent or abusive behavior. Upon termination for cause, any wallet balance may be forfeited and returned to The Chalice at Hope & Grace's discretion, except as prohibited by law.

You may voluntarily deactivate your account at any time. Angels may deactivate through their wallet settings. Souls may deactivate through the link in their welcome email or through their Soul Wallet. Upon voluntary deactivation, any remaining wallet balance will be available for withdrawal for 30 days, after which unclaimed funds will be returned to The Chalice.

11. Content and Intellectual Property

11.1 User Content

By submitting content to the Platform (including stories, messages, and other materials), you grant Hope & Grace a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute that content in connection with the Platform's charitable mission, including on The Blessed page and Ripples of Compassion archive. Original stories are archived permanently as part of the Ripples of Compassion.

11.2 Platform Content

All content, design, graphics, and materials on the Platform (except user-submitted content) are the property of Hope and Grace Angel Network and are protected by applicable intellectual property laws.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to conflict of laws principles.

12.2 Informal Resolution

Before filing any formal proceeding, you agree to attempt to resolve any dispute informally by contacting us at support@hopeandgrace.space. We will attempt to resolve disputes informally within 30 days.

12.3 Jurisdiction

Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Clackamas County, Oregon.

13. Limitation of Liability

Hope & Grace is a facilitator of charitable giving, not a guarantor of outcomes. We do not guarantee that any Angel will be selected in a Blessing Ceremony, that any Soul will receive a specific amount, or that any donation will result in a particular tax benefit. The Platform is provided "as is" and "as available."

14. Charitable Status Disclaimer

Hope and Grace Angel Network is a 501(c)(3) tax-exempt public charity under the Internal Revenue Code. Our IRS determination letter is available upon request. Our operations are subject to oversight by the IRS and the Oregon Department of Justice, Charitable Activities Section (Registration #71780).

15. No Gambling Disclaimer

The Blessing Ceremony is a charitable distribution mechanism operated by a registered 501(c)(3) nonprofit organization. It is not a lottery, raffle, sweepstakes, or gambling activity. Angels make charitable donations; Souls in Need register and receive assistance for free. No wager is placed by any participant.

16. Modifications to These Terms

We may update these Terms from time to time. Material changes will be communicated to registered users by email as described in the Preliminary Notice above. Changes to the fee model or the Divine Offering structure require approval by the Board of Directors (The Aureate Council of Compassion). Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
